Corporate legislation continues to improve, judicial practice on corporate issues is actively being formed, but harmony between the novelties of the Civil Code and the laws on JSC and LLC has not yet been fully achieved. Therefore, the issues of corporate contracts are a very relevant topic today.
On November 8, 2021, Alla Abarysheva, adviser to Lurye, Chumakov & Partners, will share her experience at the seminar of the Russian Foundation for Educational Programs "Economics and Management".
Topics that Alla will focus on: • practical issues of a corporate contract and other forms of agreements to which the rules on corporate agreement apply, • the principle of "freedom of contract" in corporate agreements, • option agreements as elements of a corporate agreement, • provisions of the corporate agreement as grounds for challenging the LLC's transactions and decisions of management bodies, • and, of course, the analysis of judicial practice.
